Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Caspr platform at caspr.ai (the “Platform”), operated by Caspr Holding Pte Ltd, a company incorporated in the Republic of Singapore (UEN: 202530032C) (“Caspr,” “we,” “our,” or “us”).

By creating an account, accessing, or using the Platform in any way, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not access or use the Platform.

1. The Platform

Caspr provides an analytical AI platform that generates structured research analyses and reports (“Reports”) based on user-submitted prompts. Reports are delivered as PDF or editable PPTX files and are powered by Caspr’s proprietary analytical systems and curated data sources. Caspr is not a generative AI assistant or chatbot and does not provide conversational outputs.

2. Eligibility

To use the Platform, you must be at least 18 years of age, have the legal capacity to enter into binding contracts in your jurisdiction, and not be prohibited from receiving services under applicable law.

If you access or use the Platform on behalf of a company, organisation, or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

You must create an account to access the Platform. You agree to provide accurate, current, and complete registration information; maintain the confidentiality of your account credentials; and accept responsibility for all activity that occurs under your account.

You must notify us immediately at legal@caspr.ai if you become aware of any unauthorised access to your account.

4. Research Budget, Plans, and Payments

4.1 Research Budget model

Access to analyses is governed by a Research Budget system. Each subscription plan grants a monthly Research Budget (denominated in USD) that may be applied toward analyses. Unused Research Budget carries forward automatically. Each billing cycle restores only the amount consumed, up to your plan maximum. Free Trial budget carries a 90-day expiry from account creation.

The Intelligence analysis type is available as a one-time purchase without an active subscription. The applicable price is displayed at checkout.

4.5 Payments and billing

All payments are processed by Stripe, Inc. on behalf of Caspr Holding Pte Ltd. Subscriptions renew automatically on a monthly basis unless cancelled before the renewal date. You are responsible for all applicable taxes.

4.6 Refunds

Refund eligibility is governed by our Refund Policy at caspr.ai/refund. Completed analyses are non-refundable once delivered. Consumed Research Budget is non-refundable. We will assess refund requests on a case-by-case basis where there has been a Platform error.

5. Acceptable Use

You agree to use the Platform only for lawful purposes. You must not reverse-engineer Caspr’s proprietary systems; resell or redistribute Reports without prior written consent; submit content that infringes third-party rights; use automated tools to access the Platform without authorisation; or interfere with the Platform’s security or operation.

6. Intellectual Property

6.1 Platform ownership

All rights in and to the Platform — including its design, architecture, methodology, proprietary AI systems, and trademarks — are owned by Caspr Holding Pte Ltd. Nothing in these Terms transfers any intellectual property rights to you.

6.2 Your input content

You retain all ownership rights in content you submit to the Platform. By submitting content, you grant Caspr a limited licence to use it solely for generating your Reports. We do not use your Input Content to train our models without your explicit consent.

6.3 Reports

Subject to your compliance with these Terms and payment of applicable fees, Caspr grants you a non-exclusive, non-transferable licence to use Reports for your internal business purposes. You may not resell or publicly redistribute Reports in a manner that damages Caspr’s commercial interests.

6.4 Feedback

If you submit feedback or suggestions about the Platform, you grant Caspr a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate that feedback without compensation to you.

7. Privacy and Data

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. For GDPR Data Processing Agreements, contact legal@caspr.ai.

8. Third-Party Services and Links

The Platform may integrate with or link to third-party services. Caspr is not responsible for the content, policies, or practices of any third-party service.

9. Disclaimers

Reports are provided for informational and decision-support purposes only. They do not constitute professional legal, financial, investment, tax, or other professional advice. To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis without warranties of any kind.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Caspr’s total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim. Caspr is not liable for indirect, incidental, special, or consequential damages. Nothing limits liability for death or personal injury caused by negligence, fraud, or liability that cannot be lawfully excluded.

11. Indemnification

You agree to indemnify and hold harmless Caspr and its affiliates from claims arising from your use of the Platform in violation of these Terms, your Input Content, or your violation of any applicable law.

12. Term and Termination

These Terms remain in effect while you have an account or use the Platform. You may close your account at any time via account settings or by contacting legal@caspr.ai. Caspr may suspend or terminate your account immediately if you breach these Terms. Upon termination, your right to access the Platform ceases immediately.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore. Disputes shall be resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC), with Singapore as the seat and English as the language of arbitration. Either party may bring small claims before the Small Claims Tribunal of Singapore within its jurisdictional limits.

14. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Caspr. Caspr may amend these Terms with at least 14 days’ notice for material changes. If any provision is held invalid, the remaining provisions continue in full force. Caspr’s failure to enforce any right shall not constitute a waiver.
